Argentina's government proposes an overhaul of the Companies Law

On 29 May 2026 Argentina's Executive sent Congress a bill to reform the General Companies Law (Law 19,550). It would allow single-member companies of any type, make shareholders' agreements enforceable against the company once notified, and let companies act by written resolutions signed by all directors or shareholders. It would also abolish several partnership forms. The bill still needs Congress's approval.

The bill aims to replace rigid structural rules with more freedom for shareholders to arrange their affairs.

What the bill proposes
  • Single-member companies: allowed for any company type, and able to hold shares in other single-member companies.
  • Shareholders' agreements: enforceable against the company from when it is notified.
  • Written resolutions: decisions approved by a private document signed by all directors or all shareholders, without a meeting.
  • Incorporation: by private document with certified, digital or electronic signatures.
  • Fewer forms: general partnerships, limited partnerships, partnerships limited by shares and capital-and-industry partnerships would be abolished.
  • New forms: a decentralised autonomous operational company (DAO), and companies run by algorithms or AI, which must include "Automated" in their name.
Status

This is a bill. Nothing changes until Congress passes it.
