Terms of Service
Last updated 26 April 2026
These Terms of Service ("Terms") govern your access to and use of the CosecCompanion website and software-as-a-service offering (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
CosecCompanion is currently in private beta. These Terms are a draft provided for the beta period and will be reviewed and finalised before general availability.
1. The Service
CosecCompanion is a tool for tracking statutory filing deadlines, managing entity records, and producing reminders for UK company-secretarial obligations. The Service is provided as an aid to your compliance work; it does not constitute legal, accounting, or tax advice and is not a substitute for advice from a qualified professional.
2. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorised use.
3. Beta period
During the beta, the Service is provided free of charge and may be subject to limitations, bugs, and changes. Features may be added, removed, or modified without notice. We may suspend or terminate beta access at any time. The Service is provided on an "as-is" basis during the beta.
4. Your data and your responsibilities
You retain all rights in the data you upload to the Service. You grant us a limited, non-exclusive licence to host, copy, and process your data solely to provide the Service to you.
You are responsible for:
- The accuracy and completeness of the entity data you enter or import.
- Ensuring you have the legal right to upload any data and that your use complies with applicable laws.
- Verifying every filing deadline and obligation against the underlying source records before relying on it.
- Performing the actual filings with Companies House, HMRC, or any other authority.
5. Acceptable use
You agree to use the Service in accordance with our Acceptable Use Policy. You must not misuse the Service or attempt to circumvent its security or rate limits.
6. Intellectual property
The Service, including all software, design, logos, and content (other than your data), is owned by us and is protected by intellectual property laws. We grant you a limited, non-transferable, revocable licence to use the Service in accordance with these Terms.
7. Third-party services
The Service integrates with third-party services including Companies House, Clerk, Supabase, Vercel, and Cloudflare. We are not responsible for the availability or content of third-party services, and your use of them may be subject to their separate terms.
8. Disclaimers
To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or produce particular results, nor that information generated by the Service is accurate, complete, or current.
9. Limitation of liability
Nothing in these Terms limits or excludes our liability where it would be unlawful to do so. Subject to that, to the maximum extent permitted by law, we shall not be liable for:
- Indirect, consequential, or special losses.
- Loss of profits, revenue, business, goodwill, or anticipated savings.
- Loss or corruption of data, except to the extent caused by our gross negligence.
- Penalties or fines arising from a missed filing where you relied on the Service without independently verifying the deadline.
Our aggregate liability arising out of or in connection with these Terms is limited to the fees you have paid us in the twelve months preceding the event giving rise to the liability, or, if no fees have been paid, £100.
10. Termination
You may terminate your account at any time. We may suspend or terminate your access to the Service for material breach of these Terms or where required by law. On termination, your right to use the Service ceases, but accrued rights and clauses intended to survive termination will remain in force.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or through the Service. Continued use after the effective date of an update constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms or the Service, save that consumers may bring proceedings in their country of residence.
13. Contact
Please use our Contact page for questions about these Terms.
