Buenos Aires registry overhauls its rules and drops annual reports for foreign companies

Argentina's Inspección General de Justicia (IGJ), which registers companies in the City of Buenos Aires, adopted General Resolution 15/2024 on 16 July 2024, replacing its 2015 rules from 1 November 2024. It drops several registration requirements for foreign companies, scraps their annual information filings, simplifies the cancellation of inactive companies and sets mandatory processing deadlines. The IGJ described it as a first step in applying the Bases Law (Law 27,742).

General Resolution 15/2024 replaces General Resolution 7/2015, the IGJ's main rulebook, from 1 November 2024. It follows the Bases Law (Law 27,742), published on 8 July 2024, which aims to deregulate and simplify procedures.

What changed
  • Foreign companies: branches and foreign shareholders no longer need to prove assets abroad, show a management centre outside Argentina or identify their shareholders. Offshore companies can register, subject to closer review.
  • Annual information: the annual information filings for foreign companies registered under sections 118 and 123 of the Companies Law are abolished.
  • Inactive companies: a simpler process to cancel inactive local companies. Civil associations inactive for six years can be dissolved without liquidation.
  • Processing: procedures have mandatory deadlines, and urgent filings must be decided within 72 hours.
  • Accounting: biannual filings for electronic books are removed. Associative contracts and trusts no longer file financial statements with the IGJ unless a special law requires it.
Who is affected

Companies registered in the City of Buenos Aires and foreign companies with branches or holdings there.

Later developments

In 2026 the IGJ issued further resolutions simplifying directors' registration, corporate officers, foreign companies and digital filing.
