Bermuda amends its beneficial ownership law, giving 30 days to file changes

Bermuda's Beneficial Ownership Amendment Act 2026 received the Governor's assent on 14 September 2026, together with the Beneficial Ownership Regulations 2026 and an Exemption Order. Several deadlines for updating and filing beneficial ownership information with the Registrar of Companies rise from 14 to 30 days, and the Registrar's enforcement powers are strengthened. Exempt entities must still keep their records and appoint a regulated contact person.

The package amends the Beneficial Ownership Act 2025 and makes consequential changes to the Companies Act 1981 and other laws.

What changed
  • Deadlines: certain periods for updating and filing beneficial ownership information with the Registrar rise from 14 to 30 days.
  • Regulations: the Beneficial Ownership Regulations 2026 set out how information is filed.
  • Exemptions: the Exemption Order lists legal persons that may be exempt from filing, subject to conditions. They must still keep beneficial ownership information and appoint a contact person regulated by the Bermuda Monetary Authority.
  • Enforcement: the Registrar gets stronger compliance and enforcement powers.
  • The Registrar is expected to publish updated Guidance Notes.
