Bulgaria adopts the euro: company capital converted, articles to be amended within 12 months

Bulgaria joined the euro on 1 January 2026. Under the Euro Introduction Act, the Registry Agency converts companies' registered capital from leva to euro automatically at BGN 1.95583, and companies had 12 months to amend their articles, filing them with their next application to the Commercial Register. Limited companies can adjust capital by up to 5% to round figures, and shares can have a nominal value as low as one euro cent.

The Introduction of the Euro in the Republic of Bulgaria Act sets the rules for companies.

What applies
  • Automatic conversion: the Registry Agency converts each company's registered capital to euro ex officio, at EUR 1 = BGN 1.95583, rounded to the cent. It began on 1 January 2026 and was expected to finish by February 2026. No application was needed for this step.
  • Articles: companies must amend their articles or deed of incorporation to state capital in euro within 12 months of the euro's introduction.
  • Filing: the amended articles go to the Commercial Register with the company's first later application for registration, deregistration or publication, whatever it concerns.
  • Rounding: an OOD or EOOD can change its capital by up to 5% through the articles amendment to round figures, without the usual capital increase or reduction procedure.
  • Nominal value: a share can have a nominal value of not less than one euro cent.
