Colombia's companies regulator gets access to the beneficial owner register
Colombia's Superintendence of Companies (Supersociedades) and the tax authority (DIAN) signed an agreement in 2024 giving Supersociedades access to the Single Register of Beneficial Owners (RUB). Supersociedades can now use the data to investigate control and business-group situations. Colombian companies must report beneficial owners holding 5% or more to the RUB, and update it in January, April, July or October when anything changes.
The RUB was created by Law 2155 of 2021 and is run by the DIAN as part of the tax register (RUT). Article 13 of Law 2195 of 2022 lists Supersociedades among the bodies entitled to access it.
What changed
- Supersociedades and the DIAN signed an inter-administrative agreement to share RUB data.
- Supersociedades can use it to investigate who controls companies, business groups and decision-making power.
The RUB rules
- Almost all Colombian companies (SAS, Ltda, SA) and non-profits report.
- Beneficial owners include anyone holding or controlling 5% or more of capital or votes, or benefiting from 5% or more of returns, or controlling the entity by other means.
- Changes are reported in the update windows of January, April, July and October.
- Failing to report carries daily penalties. The DIAN's rules are now compiled in Resolution 000227 of 2025.
