Denmark halves the minimum share capital for private limited companies (ApS) to DKK 20,000

From 27 February 2025, the minimum share capital for a Danish private limited company (anpartsselskab, ApS) fell from DKK 40,000 to DKK 20,000, under Act no. 1667 of 30 December 2024. Existing ApS companies can reduce their capital to the new minimum using the ordinary capital reduction rules.

Act no. 1667 of 30 December 2024 amended the Danish Companies Act (selskabsloven). It also relaxed the ban on public offers of shares in private limited companies. The reduction in minimum capital was brought into force separately by Executive Order no. 204 of 25 February 2025, from 27 February 2025.

What changed
  • The minimum share capital for an anpartsselskab (ApS) fell from DKK 40,000 to DKK 20,000.
  • New companies can be formed with DKK 20,000.
  • Existing companies can reduce their share capital to the new minimum using the Companies Act's capital reduction rules.
Who is affected

Founders and existing Danish private limited companies.

What to do

Directors still need to judge whether the company has adequate capital for its activities. A lower legal minimum does not change that duty.
