FinCEN makes the US company exemption from beneficial ownership reporting permanent

On 11 August 2026 FinCEN issued a final rule permanently removing Corporate Transparency Act reporting for US companies and US persons, confirming its March 2025 interim rule. FinCEN said it would delete beneficial ownership information already filed by US persons. Only foreign entities registered to do business in the US must still report, and only for foreign beneficial owners.

The Financial Crimes Enforcement Network (FinCEN) issued a final rule on 11 August 2026 settling the scope of beneficial ownership information (BOI) reporting under the Corporate Transparency Act (CTA).

What the final rule does
  • Permanently removes the requirement for US companies and US persons to report BOI to FinCEN, confirming the March 2025 interim final rule.
  • FinCEN will delete BOI previously reported by US persons, who are now exempt, from its database.
  • Foreign entities that are reporting companies, those formed abroad and registered to do business in a US state or tribal jurisdiction, must still report BOI for foreign individuals.
  • The rule takes effect on publication in the Federal Register.
Who is affected

Non-US groups with entities registered to do business in a US state, which keep filing. US companies, which no longer do.

What to do

Check which group entities are registered to do business in a US state and keep their filings current. Also check state regimes such as New York's LLC Transparency Act, which apply separately.
