France's attractiveness law eases remote general meetings and allows multiple-vote shares

France's Law no. 2024-537 of 13 June 2024 on financing companies and France's attractiveness makes it easier for French companies to hold shareholder and board meetings remotely, and lets companies issue multiple-voting-right preference shares so founders can raise capital without losing control. It also authorised the Government to reform the rules on nullity in company law by ordinance.

Law no. 2024-537 of 13 June 2024 to increase the financing of companies and the attractiveness of France (loi visant à accroître le financement des entreprises et l'attractivité de la France, known as the loi attractivité) was published in the Journal officiel on 14 June 2024.

What changed
  • Remote meetings: consultations and meetings of shareholders' general meetings and of decision-making bodies of commercial companies can be held remotely more easily.
  • Multiple-vote shares: companies can issue preference shares carrying multiple voting rights, so founders and managers can raise capital while keeping control.
  • Nullity reform: the Government was authorised to reform the rules on nullity of company acts and decisions by ordinance within nine months.
Who is affected

French companies (SA, SAS and others), their boards and the company secretaries who organise meetings.

What to do

Review articles of association before using the remote-meeting options or issuing multiple-vote shares, since several options depend on the articles.

Later developments

The nullity reform followed as Ordinance no. 2025-229 of 12 March 2025. See our coverage.
