Ghana starts penalising companies that have not filed beneficial ownership details

From 12 January 2026, Ghana's Office of the Registrar of Companies enforces a GHS 500 penalty regime against existing companies that missed the 30 October 2025 deadline to file their beneficial ownership information. The Office said some companies remained non-compliant and that giving false information remains an offence carrying fines or imprisonment.

The Office had given companies registered before January 2020 until 30 October 2025 to file.

What changed
  • From Monday 12 January 2026 the Office applies a penalty of GHS 500 to existing companies that have not filed their beneficial ownership information.
  • The enforcement relies on sections 13(2)(m) and 373(1) of the Companies Act 2019 (Act 992).
  • Providing false information can lead to a fine of up to 250 penalty units or up to two years' imprisonment.
What to do

File any outstanding beneficial ownership information for Ghanaian companies now, and keep it current.
