Greece switches on fines for late or missing filings with the GEMI business register

Greece's Joint Ministerial Decision 46982/2025, published on 8 July 2025, puts into effect the fines in article 50 of Law 4919/2022 for failing to register, or registering late, acts with the General Commercial Registry (GEMI). Fines range from €50 to €100,000 by entity type and breach, and are halved if paid within 30 days with the filing made. Entities had until 31 December 2025 to catch up, and fines apply from 1 January 2026.

Law 4919/2022 provided for penalties, but they could not be imposed until a ministerial decision set the amounts. The decision was signed on 18 June 2025 and published in Government Gazette B' 3542/2025.

What changed
  • Who: all capital companies (SA, EPE, IKE, SE and partnerships limited by shares), partnerships, cooperatives and branches of foreign companies.
  • Amounts: from €50 to €100,000, depending on the type and size of the entity and the breach. Examples include €1,000 to €10,000 for failing to register at all, and €100 to €500 for late registration of changes such as amendments to the articles. Listed companies face the highest amounts.
  • Reductions: half for companies in liquidation, and half if the fine is paid within 30 days and the filing made at the same time.
  • Timing: entities could correct outstanding filings without penalty until 31 December 2025. Fines apply from 1 January 2026. A first clarifying circular (56823/18-07-2025) explained the transition.
