Guernsey Registry issues civil penalties automatically from 1 September 2026, per late change
From 1 September 2026, the Guernsey Registry's system automatically issues civil penalties for breaches such as late changes of directors or resident agents, late or missing annual validations, late changes to memorandum and articles, and having no resident agent. Penalties for late changes of officers are now charged per person added or removed late, not per submission.
The Guernsey Registry changed how it applies civil penalties under its 2023 civil penalty regulations, with effect from 1 September 2026.
What changed
- Civil penalties are now generated automatically by the Registry system.
- They apply to companies, limited partnerships, LLPs and foundations for breaches including:
- late changes to resident agents, directors, general partners, LLP members or foundation officials;
- late or missing annual validations;
- late changes to a company's memorandum or articles, or a foundation's charter;
- not having a resident agent, unless exempt.
- For late changes to officers and resident agents, a penalty applies for each person or entity added or removed late, even if all the changes are on one submission.
Who is affected
Guernsey companies and other entities, and their resident agents and fiduciaries.
What to do
File changes of directors and resident agents on time, and complete the annual validation between 1 January and the end of February. A late filing that adds several directors now attracts several penalties.
