Hungary moves company registration from the courts to a central authority from 2027

In June 2025 Hungary's Parliament adopted two acts that, from 1 January 2027, replace the laws on registering, supervising and winding up legal entities. Registration moves from the courts to a single registry run by a new central administrative authority, most changes are registered automatically, and not all registration documents will be public. Courts keep judicial supervision and winding-up.

The reform follows earlier attempts: Act XCII of 2021 on registering legal persons was due in 2023 and was postponed.

What changes from 1 January 2027
  • One registry: business associations, Hungarian branches and commercial representative offices of foreign companies, associations, foundations and others are registered in a unified registry run by a new central authority instead of the court of registration.
  • Courts: they register only a few special entities, such as political parties, and mainly supervise the lawful operation and winding-up of legal entities.
  • Automation: changes to registered data are generally registered automatically, without the system checking the lawfulness of the documents. The legal counsel who files is responsible for checking them, and courts review afterwards.
  • Confidentiality: not all registration documents and data will be public, with a separate procedure for disclosing confidential documents.
  • Other: automatic alerts before mandates such as executive officers' expire, and the financial statements portal becomes part of the registry.
Who is affected

Hungarian companies and branches, and the lawyers who file their changes.
