Dutch private companies can be incorporated online from 2024
From 1 January 2024 a Dutch private limited company (BV) can be incorporated online, under the Act on the Online Incorporation of Private Limited Companies implementing the EU Digitalisation Directive (2019/1151). Founders resident or incorporated in the EU sign the notarial deed by video with the notary using a high-assurance electronic ID, and the deed and articles can be entirely in English. Capital must be paid in cash.
The Act of 28 June 2023 amended Book 2 of the Dutch Civil Code and the Notaries Act to implement Directive (EU) 2019/1151 on digital tools in company law.
What changed
- A BV can be incorporated by electronic notarial deed, through a secure video connection with the notary.
- Founders must be individuals resident in an EU member state or companies incorporated under EU law.
- Identification uses an electronic ID at the EU 'high' assurance level, with a qualified electronic signature.
- The deed and articles can be drawn up entirely in English.
- Limits: contributions must be in cash, every founder must sign digitally, and later amendments to the articles cannot be made online.
