Nigeria's CAC moves to strike off 100,000 companies that haven't filed returns or PSC details

On 15 July 2026 Nigeria's Corporate Affairs Commission (CAC) published a notice listing about 100,000 companies at risk of being struck off for failing to file annual returns and information on their persons with significant control (PSC). Under section 692 of the Companies and Allied Matters Act 2020, the companies have 90 days to file and send proof of compliance, or be struck off without further notice.

Nigerian companies must file annual returns every year and tell the CAC who their persons with significant control are.

What happened
  • The CAC published a list of about 100,000 companies at risk of deregistration.
  • Listed companies have 90 days from the notice to file outstanding annual returns with PSC information and email proof of compliance to the CAC.
  • Companies that don't comply will be struck off without further notice, under section 692(3) and (4) of CAMA 2020.
Background

A person with significant control must notify the company within seven days, and the company must tell the CAC within a month. The CAC already refuses to register other changes for companies with outstanding PSC filings.

What to do

Check whether any Nigerian entity is on the list and bring its filings up to date before the 90 days end, around mid-October 2026.
