Saudi companies' deadline to align their articles with the Companies Law passes
Companies in Saudi Arabia that existed before the Companies Law took effect on 19 January 2023 had until 18 January 2025 to amend their articles of association to comply. The Ministry of Commerce asked them to file amendments through the Saudi Business Center platform and waived publication fees. Companies that missed the deadline face enforcement action.
Saudi Arabia's Companies Law came into force on 19 January 2023. The Royal Decree approving it gave existing companies up to two years to bring themselves into line.
What it means
- Existing companies had to amend their articles of association by 18 January 2025.
- A company amending its articles in that window had to update every provision that conflicted with the law.
- Amendments were filed through the Saudi Business Center platform (business.sa). The Ministry waived publication fees.
- After the deadline, companies with non-compliant articles risk enforcement action.
What to do
Companies that haven't updated their articles should do so now, and make later changes through the Saudi Business Center.
