Wyoming can dissolve companies that give false information to their registered agent

Wyoming's Senate File 56, in force from 28 February 2025, lets the Secretary of State administratively dissolve or revoke a business entity that gave false or fraudulent information to its registered agent. A separate 2025 law, from 1 July 2025, adds foreign adversary ownership or control as a ground for dissolution of corporations, LLCs and foundations. A wider bill requiring commercial registered agents to verify identity failed.

Wyoming is a popular state for forming LLCs, and lawmakers have been under pressure over fraud by entities formed through commercial registered agents.

What changed in 2025
  • Senate File 56: giving false or fraudulent information to a registered agent is now a ground for administrative dissolution, revocation and forfeiture. In force from 28 February 2025.
  • House Bill 69: from 1 July 2025, ownership or control by a foreign adversary is also a ground for administrative dissolution of corporations, LLCs and foundations.
  • The Secretary of State can also cancel trade name registrations obtained with fraudulent information.
What did not pass

Senate File 55 (2025), which would have required commercial registered agents filing 10 or more documents a year to verify their identity, failed. In 2026 a bill requiring agents to hold owners' names and addresses (Senate File 82) died in the House, and the issue went back to committee for 2027.

Who is affected

Wyoming companies and LLCs, their owners and commercial registered agents.
